Exhibit A - Description of the Licensed
Materials: The
Licensed Materials include any and all of the following texts, images and/or
audio video recordings, titles, together with any video clips or excerpts taken
from such video titles:

Terms and Conditions of Services: The Licensee, TVonNet.com, is in the business of TV
broadcasting, transmitting and delivering, via its website, TVonNet.com
on the World Wide Web, audio video, text, images and other licensed material
contents (hereinafter all of it simply referred to as the
"materials"). As such, for the purpose of promoting The Licensor's
materials, The Licensor, with specific reference to Exhibit A, hereby
grants to TVonNet.com, Panorama 10, Panorama Mlodych, The Other Show the right to Television
Broadcasting, transmit and distribute the materials via its said website or/and
TV Broadcasting upon all the terms and conditions set forth herein.
1.
Together
with this signed Agreement, The Licensor shall provide TVonNet.com with copies
of the materials. In the case of video, the Licensor shall provide it in VHS -
(PAL) or VHS/SVHS - (NTSC). Other formats may be accepted.
2.
TVonNet.com
only accepts copies of the materials, as they will not be returned to the
Licensor.
3.
TVonNet.com
shall not be liable in any way, shape or form for (a) lost or damaged materials
while in the process of being delivered to its offices and (b) for lost of
material contents resulting from quality related problems of sent tapes and
other content carrying media.
4.
TVonNet.com
is not responsible and, therefore, not liable for any technical difficulties,
server service interruptions and error problems, that may occur before, during
or after broadcasting, transmitting or delivery of the materials.
5.
The
rights granted to TVonNet.com hereunder include the right to: (a) reproduce and
edit any or all of the described materials (b) digitize any or all of the
materials or such reproductions, or clips or excerpts of the materials, to
create "digitizations" and store such digitizations in the computer
servers (c) broadcast, transmit and deliver any or all of the materials through
its website and television broadcasting, in an unlimited number of exhibitions
and in a format which is exhibited to end users in singular clips or excerpts
or in a series of clips or excerpts.
6.
With
regards to audio video material content intended for viewing via our website
and TV show, The Licensor understands and agrees that TVonNet.com, in its
continuing endeavor to make its internet and TV broadcasting services viable
and reasonably affordable, may obtain advertiser sponsorship(s) for some or all
of the materials, and display advertising (including video clips, banner ads or
other types of advertising) of such sponsors on its site with the materials.
7.
In
accordance with international copyright laws, the licensed materials shall
remain the sole and exclusive property of The Licensor and The Licensor shall
retain all rights, titles and interests, including without limitation any
rights under Canadian copyright laws, in and to the licensed materials.
8.
Pursuant
to Section 7. The Licensor represents and warrants to TVonNet.com that the
materials in question are either (a) not copyrighted, (b) The Licensor
owns all copyrights to the materials or (c) The Licensor has obtained all
necessary copyrights, other rights, licenses and releases to provide the
materials to TVonNet.com and grants the rights and licenses to TVonNet.com
under this Agreement, free and clear from any obligations or liabilities; to
obtain any other rights, authorizations, consents or releases from any third
party (including without limitation any authorizations, consents or releases
from any persons appearing in the materials or any union, guild, musician or performer,
any music or music synchronization licenses or any performance rights), or make
any payment to any third party, in order to use the materials as described in
this Agreement.
9.
Pursuant
to Section 7. & 8. The Licensor hereby agrees to assume singularly and
unilaterally any and all legal responsibilities and consequences arising from
third party copyrights disputes and allegations of infringements. In this
regard, TVonNet.com assumes no liability in any way, shape or form.
If the foregoing is in
accordance with your understanding, please so indicate by signing herein below.
